We are Quence Inc. (“Company,” “we,” “us,” “our”), a company registered in Canada at 2200 Stanley St., Montreal, Quebec H3A 1R6.

We operate the website prompteus.com (the "Site") and provide the Prompteus platform (the "Platform"), which enables users to build, manage, and optimize AI workflows through our no-code interface and API. The Platform includes features such as multi-LLM integration, request-level logging, semantic caching, and workflow automation (collectively, the "Services").

AGREEMENT TO OUR LEGAL TERMS
These Terms of Service ("Legal Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you") and Quence Inc., governing your access to and use of the Services.
By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
1. OUR SERVICES
The Services are not intended for distribution or use by any person or entity in a jurisdiction or country where such use would be contrary to law or regulation or subject us to additional legal obligations. You are responsible for compliance with local laws if applicable.
The Services do not comply with industry-specific regulations (e.g., Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA)). If your interactions are subject to such regulations, you may not use the Services.
You may not use the Services in a way that violates the Gramm-Leach-Bliley Act (GLBA).
2. INTELLECTUAL PROPERTY RIGHTS
We own or are licensed to use all intellectual property rights in our Services, including but not limited to source code, databases, functionality, software, website design, text, images, graphics, audio, video, and trademarks ( "Marks").
The Platform and its components are provided "AS IS" for your use in accordance with these Terms. You retain all rights to your AI workflows, prompts, and generated content, while we retain rights to the Platform's functionality and infrastructure.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
• You will provide true, accurate, current, and complete registration information and update it as necessary.
• You have the legal capacity to enter into these Legal Terms.
• You are not a minor in your jurisdiction.
• You will not access the Services through automated means (bots, scripts, etc.) without our explicit permission.
• You will not use the Services for any illegal or unauthorized purpose.
• Your use of the Services will not violate any applicable law or regulation.
• You will not attempt to reverse engineer or decompile any part of the Platform.
4. USER REGISTRATION
You may be required to register to access certain Services. You agree to:
• Keep your password confidential;
• Be responsible for all activities under your account;
• Accept that we may reclaim or change usernames deemed inappropriate;
• Provide accurate API keys and credentials for AI providers you integrate with the Platform.
5. LICENSE & OWNERSHIP OF DATA
Subject to compliance with this Agreement and payment of applicable fees, Prompteus grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services.
You retain ownership of your AI workflows, prompts, and generated content. However, Prompteus retains a non-exclusive, royalty-free license to use anonymized usage data to improve the Platform's functionality and performance.
6. PURCHASES AND PAYMENT
We accept the following payment methods:

• Mastercard
• American Express
• Discover
All payments are processed securely through our payment providers. You agree to pay all fees associated with your use of the Services, including but not limited to API usage fees, storage fees, and any applicable taxes.
7. SUBSCRIPTIONS
• Your subscription will automatically renew unless canceled. By subscribing, you authorize us to charge your payment method on a recurring basis.
• You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of the current billing cycle.
• We may adjust subscription fees and will notify you in advance of any changes.
• Usage beyond your plan limits will be billed according to our pay-as-you-go rates.
8. PROHIBITED ACTIVITIES
You may not:
• Use the Services to generate content that violates any laws or regulations;
• Attempt to circumvent our rate limiting or usage restrictions;
• Use the Services to create competing products or services;
• Share your account credentials or API keys with unauthorized users;
• Use the Services to generate malicious code or malware;
• Interfere with the proper functioning of the Platform or other users' access to it.
9. AI-SPECIFIC DISCLAIMERS
• The Services rely on third-party AI providers whose performance and availability we do not control.
• AI-generated outputs are probabilistic and may contain biases or inaccuracies.
• The Services are not a substitute for professional judgment or human oversight.
• We do not guarantee the accuracy, reliability, or quality of AI-generated content.
• You are responsible for reviewing and validating all AI outputs before use.
10. SERVICE MANAGEMENT
We reserve the right, but are not obligated, to:
• Monitor the Services for violations of these Legal Terms;
• Take legal action against users violating these Legal Terms;
• Restrict, limit, or disable any user account or content;
• Manage the Services to ensure security and proper functionality;
• Update or modify the Platform's features and capabilities;
• Suspend or terminate access to the Services for maintenance or security reasons.
11. PRIVACY POLICY

12. TERM AND TERMINATION
These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Legal Terms.
13. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We are not liable for interruptions, downtime, or service modifications. We will make reasonable efforts to notify you of significant changes or disruptions.
14. GOVERNING LAW
These Legal Terms shall be governed by and construed in accordance with the laws of Canada. Any legal action or dispute resolution shall take place in Montreal, Quebec.
15. DISPUTE RESOLUTION
Before taking legal action, both parties agree to attempt to resolve disputes informally for at least 30 days. If informal negotiations fail, disputes will be resolved through binding arbitration under the International Commercial Arbitration Court in Montreal, Canada.
16. CORRECTIONS
We may correct errors, omissions, or inaccuracies in the Services at any time without notice.
17. DISCLAIMER
The Services are provided "AS IS" and "AS AVAILABLE". We do not guarantee that the Services will be error-free, uninterrupted, secure, or free of harmful components. We are not responsible for any loss or damage resulting from your use of the Services.
18. LIMITATIONS OF LIABILITY
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the services, including but not limited to:
• Loss of profits, data, or business opportunities;
• Service interruptions or downtime;
• AI provider outages or performance issues;
• Security breaches or data loss;
• Third-party claims arising from your use of the Services.
19. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Services or breach of these Legal Terms.
20. ELECTRONIC COMMUNICATIONS
By visiting the Services, sending emails, and completing online forms, you engage in electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
21. MISCELLANEOUS
These Legal Terms constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not be considered a waiver of such right or provision.
